What's covered
- Form DPT-3 is the annual return of deposits filed under Rule 16A of the Companies (Acceptance of Deposits) Rules 2014. It is a web-based form that every company except a government company must file, reporting the position of deposits and of money received that is not treated as a deposit, taken as on 31 March each year. The return is due by 30 June following the close of the financial year.
- The form reports both outstanding deposits and exempted borrowings — loans and amounts received that the rules do not classify as deposits, such as money received from directors, inter-corporate loans and certain secured borrowings. Government companies, banking companies, non-banking financial companies registered with the Reserve Bank and housing-finance companies registered with the National Housing Bank are exempt from filing.
- Non-compliance carries consequences under Section 76A and Rule 21 — a fine on the company and a separate fine on every officer in default, with continuing daily fines where the default persists. These penalty amounts change with amendments, so we state them cautiously and verify the current figures against the prevailing rules before relying on them.
- We identify which receipts are deposits and which are exempted borrowings as on 31 March, obtain the auditor's certificate supporting the figures, and file DPT-3 by 30 June so the company's deposit position is reported accurately and on time.

Identify deposits and exempted borrowings
Compile the company's outstanding deposits and the amounts received that are not treated as deposits — director loans, inter-corporate loans and secured borrowings — as the position stood on 31 March.

Obtain the auditor's certificate
Have the figures verified and certified by the company's auditor, since DPT-3 is supported by an auditor's certificate confirming the amounts of deposits and exempted borrowings reported.

File DPT-3 by 30 June
File the web-based DPT-3 return with the certified figures by 30 June, signed with the Digital Signature Certificate. Filing late exposes the company and its officers to fines under Section 76A and Rule 21, so we file inside the window.
